These Terms of Service ("Terms") govern your access to and use of https://provisionsales.in and your engagement of ProVision Sales for e-commerce marketplace management, consulting, advertising, and related services.

By using our Website or engaging our services, you agree to these Terms.

1. About Our Services

ProVision Sales provides e-commerce marketplace management and consulting services to businesses.

Our services may include:

  • Amazon account management

  • Walmart marketplace management

  • eBay account management

  • Marketplace account setup and support

  • Product listing and catalog management

  • Marketplace advertising management

  • Sponsored advertising management

  • Product listing optimization

  • Marketplace strategy and consulting

  • Account health support

  • Reporting and analytics

  • Inventory and catalog assistance

  • Other e-commerce services agreed with the client

The exact services provided to a client will depend on the applicable proposal, quotation, statement of work, service agreement, or other written agreement.

2. No Guarantee of Marketplace Results

E-commerce marketplace performance depends on numerous factors outside our control.

These may include marketplace policies, competition, product pricing, inventory availability, customer demand, reviews, marketplace algorithms, advertising costs, account history, product quality, fulfillment performance, and other factors.

Accordingly, ProVision Sales does not guarantee:

  • A specific sales volume

  • A specific revenue amount

  • A specific return on advertising spend (ROAS)

  • A specific advertising cost of sales (ACOS)

  • A specific ranking

  • A specific number of orders

  • Approval of a marketplace account

  • Restoration of a suspended marketplace account

  • Marketplace eligibility

  • Any specific profit or financial outcome

Any examples, case studies, performance figures, or projections presented by ProVision Sales are illustrative and do not constitute guarantees of future performance.

3. Client Responsibilities

The client is responsible for providing accurate and complete information necessary to perform the services.

The client is responsible for:

  • Providing accurate product and business information

  • Maintaining ownership of its marketplace accounts

  • Providing authorized access to required systems

  • Maintaining sufficient inventory where applicable

  • Ensuring products comply with applicable laws and marketplace requirements

  • Ensuring products are authentic and legally offered for sale

  • Providing required licenses, certifications, trademarks, and documentation

  • Approving material business decisions where required

  • Paying marketplace fees, advertising charges, shipping charges, taxes, and other third-party costs

The client remains responsible for compliance with Amazon, Walmart, eBay, and other marketplace terms and policies.

4. Marketplace Account Access

Where required, the client may provide ProVision Sales with access to marketplace accounts.

Clients are encouraged to use authorized user or agency access wherever available rather than sharing personal passwords.

The client represents that it has the authority to provide such access.

ProVision Sales will use account access solely for authorized business purposes related to the services.

5. Advertising Services

Where advertising management is included in the services, ProVision Sales may create, manage, optimize, pause, or modify advertising campaigns according to the agreed strategy.

Advertising performance is not guaranteed.

Advertising spend, marketplace fees, product costs, fulfillment costs, taxes, and other third-party charges are separate from ProVision Sales service fees unless expressly stated otherwise in writing.

6. Fees and Payment

Service fees will be communicated through a proposal, quotation, invoice, subscription, or other written agreement.

Unless otherwise agreed:

  • Fees are payable according to the payment terms stated on the applicable invoice or agreement.

  • Third-party marketplace fees are not included in ProVision Sales service fees unless expressly stated.

  • Advertising budgets are separate from service fees.

  • Taxes, bank charges, currency conversion charges, and other applicable charges may be the responsibility of the client.

Failure to make payment when due may result in suspension or termination of services.

7. Refunds and Cancellations

Because our services are primarily digital and professional services, refunds are governed by the applicable service agreement and our Refund & Cancellation Policy.

Where work has already been performed, fees may be non-refundable to the extent permitted by applicable law.

8. Intellectual Property

Unless otherwise agreed in writing:

  • ProVision Sales retains ownership of its pre-existing methodologies, processes, templates, systems, strategies, tools, know-how, and internal materials.

  • Client-owned product information, trademarks, brand assets, photographs, content, and other materials remain the property of the client or their respective owners.

  • Deliverables specifically created for a client may be used by the client according to the terms of the applicable service agreement once applicable fees have been paid.

Nothing in these Terms transfers ownership of third-party intellectual property.

9. Confidentiality

Both parties agree to treat confidential business information received from the other party as confidential and to use it only for legitimate purposes related to the business relationship.

Confidential information may include business strategies, marketplace data, advertising data, pricing information, account information, financial information, customer information, and other non-public information.

Confidentiality obligations do not apply to information that:

  • Is publicly available without breach of these Terms

  • Was already lawfully known

  • Is independently developed

  • Must be disclosed by law or legal process

10. Third-Party Platforms

Our services may involve third-party platforms including Amazon, Walmart, eBay, Shopify, advertising platforms, payment processors, and other technology providers.

ProVision Sales does not control these third-party platforms.

We are not responsible for:

  • Marketplace policy changes

  • Account suspensions caused by marketplace decisions

  • Platform outages

  • Algorithm changes

  • Changes in advertising costs

  • Changes in marketplace fees

  • Third-party service interruptions

  • Third-party decisions affecting a client's account

11. Limitation of Liability

To the maximum extent permitted by applicable law, ProVision Sales will not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data arising from the use of our services.

To the extent permitted by applicable law, ProVision Sales' total liability arising from a service relationship will not exceed the fees actually paid by the client to ProVision Sales for the services giving rise to the claim during the applicable period, unless otherwise required by law or agreed in writing.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

12. Indemnification

To the extent permitted by applicable law, the client agrees to indemnify and hold harmless ProVision Sales from claims, losses, liabilities, damages, and expenses arising from:

  • Client's products or services

  • Client's violation of marketplace policies

  • Client's breach of these Terms

  • Client's infringement of third-party intellectual property

  • Inaccurate or unlawful information supplied by the client

  • Client's violation of applicable laws or regulations

13. Termination

Either party may terminate a service relationship according to the applicable service agreement.

ProVision Sales may suspend or terminate services where:

  • Payments remain overdue

  • The client requests unlawful activity

  • The client violates marketplace policies in a manner that materially affects our ability to provide services

  • The client provides fraudulent or materially misleading information

  • Continued service would create significant legal, security, or reputational risk

Upon termination, outstanding amounts owed for services already provided remain payable.

14. Website Use

You agree not to:

  • Use the Website for unlawful purposes

  • Attempt to gain unauthorized access to our systems

  • Introduce malicious software

  • Interfere with Website functionality

  • Copy or reproduce our proprietary materials without permission

  • Misrepresent your relationship with ProVision Sales

15. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be posted on this page with a revised "Last Updated" date.

16. Governing Law

These Terms shall be governed by the applicable laws of India, unless a separate written service agreement between ProVision Sales and a client provides otherwise or applicable mandatory law requires otherwise.

Nothing in these Terms is intended to deprive consumers of mandatory rights that cannot legally be excluded.
